Just to have a peace of mind, you can do the math from the dealing disclosure (divide the transaction price by the total number of share transacted), it will be the daily open market price.

Most importantly if the Italian had acquired additional share, they will also have to disclose on the increase in voting rights, but there is none other than the 598M share they acquired from STX parent. Basically OZ had sold the share to non substantial holders hence there is no disclosure.

Yeap, they could have use simple English instead of confusing lawyer type sentence. 

In  any case, as it is not possible for Fincantieri  to acquire outside of the offer price, those who do not want to hold will therefore  sell in open market instead of accepting the offer, and those who have just acquired in open market will not accept the offer.

Hence it is almost  certain that GO will fail whenever offer price is lower than trading price. Recent case I can think of is Jaya holding. Everyone ignore the offer as the bank needs to sell at a deprived price when the investment fund defaulted on its  payment. Jaya takes sometime to climb back to  it's pre-offer price,  but STXOSV should be faster as long as new orders continue to flow in.

OZ sell at open market i think, definitely not at $1.22, the  deal are all  based on open market price.

The Italian cannot acquire in open market outside of the offer price, don't see how they can acquire more than 90%. It will likely  make SGX history if the GO goes through, don't think it ever occur before where GO is a success when the offer price is lower than open market trading price.

As long as the GO is still on-going , it won't go below 1.22... After the GO ... anything can happen though ...

Based on the facts, the stock won't be listed. Recent buy call by  MacQuarie and OSK mentioned the target price as 1.82. So I expect the the stock would raise rather than fall towards 1.22.

No matter if there's any panic selling, I don't think the price will drop much below 1.22.

Probably they can use the price as an 'arm-twisting' technique to make people sell,

eg by offering a lower price than 1.22, but only if that is allowed by the exchange rules.

If it's permitted, a likely outcome is for them to suspend and halt trading and then continue to negotiate.

After 13 Mar, is there any possibilty at all for them to make another offer, eg. @1.10,

            since the stock holders have rejected the 1.22 initial offer? ... Smiley

I will go in big again at 1.24 .....

E& Y report has a very good analysis and comparison data already.........  From there , you can work out the fair value ..... I believe it will go back to where it should be worth after all the " dust has settled" ...... Let's see after 13th Mar .....
