the rest of fincantieri is private, VARD sticks out like a sore thumb. 

you spend $650M+ on a company only for it to pay 40-75% of yearly profits to public shareholders? they would swallow the other 44% any time of the day!

riding the weak season for stocks, i am sure got people behind pushing it down further. Its a very unfortunate stock, lots of potential but odds are stacked against the public. Since April so many signs of 'creeping takeover'.... not vested

Assuming that the management feels the company has truly promising outlook and are "baffled" by the fact that their stock has plummet without reason ... and that the above holds true ... then this can only smell like the works of market manipulation by professional & syndicate traders to scoop and accumulate at lower prices from retailers. watch out on the price & volume from here on to detect for signs of bull/bear bias. this might just be the selling climax before a consolidation & reversal. not vested.

From OCBC:Vard: Name change for STX OSV from today


Summary:   STX OSV will now commence trading under the new trading counter name Vard Holdings (SGX-ST: MS7) with effect from today. This follows its acquisition by Fincantieri in Dec last year and the passing of the special resolution to rename itself during its AGM last week. Separately, we quizzed the management on the 4% fall in its share price last Friday, and management replied that it is equally baffled and has not seen any negative developments which could have trigger such a sell-off. If anything, the management is now more excited about the new majority shareholder and the opportunities they would bring. We currently have a BUY rating with S$1.52 fair value estimate, and will provide further updates together with its 1Q results in the coming weeks.

The price action only tell one thing. The outlook for the EU countries will get worse. Worse still, this is owned by the Italian government! I will only buy when the outlook turns the corner. Maybe the hedge fund is having a good time shorting!

STX OSV has broken the 1.10 psychological support. Next downside support at 1.04 to 1.00 level. As long as 1.10 remains as the new resistance level, we are bearish with a target to 1.00. A break below 1.00 can see it go lower to 0.94.

Likely the fact that Fincantieri being the  Italian  state owned  shipbuilder, has a direct impact on the movement of the stock price for Vard Holdings. The new sworn in Italian coalition government failed to boost confidence for a country troubled by recession and political feuds. Shooting outside the government headquarters just made the general sentiment worse. Many retail investors would continue to cash out as the stock price continue to plummet. Im vested but seriously considering to cash out to stop the bleeding. damn.

any signs of a 'creeping takeover'? Forward price attrition and accumulation of shares by SSH?

They tried to make cash offer to all shareholders in a bid take it private isn't it?

Stock is down 2.7% at $1.08, at a new 52 wk low, and breaking a key $1.10 technical support. The momentum indicators are negative at the moment. The takeover by new parent Fincantieri, and hasty exit of previous significant shareholder Och-Ziff Management, has left the counter’s remaining ~44% float held by a fragmented pool of shareholders, likely a large portion being retail investors. No major recent corporate bad news to highlight.

Nevertheless takeaways from the Maybank KE roadshow held yday are as follows, - 2013 will be a " tough" year, with earnings growth to kick in only from 2014 - outlook appears flattish, with operating margins to stay around 11-13% - the Brazil yard is currently a drag on the group an overheated shipyard industry has resulted in professional and labor shortages, and the yard has been fraught with delivery delays.The Vietnam yard currently suffers from lack of orders given limited demand for high-spec vessels in Asia - consensus order win estimates at ~NOK 9-11b, which would keep outstanding order book roughly constant - key catalysts are order wins with regard to large-sized Petrobras-related orders (timing unknown), and faster than expected ramp up of its second Brazil yard to alleviate pressures from its first yard.

On Fincantieri, the parent group has an ambition to eventually become a major global shipyard group, integration is still on-going, but will take time.There is no indication of M& A angle at this point. On valuations, the stock trades at 6.6x P/e, 1.9x P/B.

1Q13 results are due 14 May.
