We are positive on the acquisition as we believe that there could be potential earnings-accretion in the near future, and that Tassal could be a platform for PAH to expand into the farmed salmon business globally. Maintain Outperform and TP of S$0.50.

Pacific Andes : Going into the salmon business

Summary: Pacific Andes Resources Development (PARD) has announced the acquisition of a 19.76% stake in ASX-listed Tassal Group Limited (Tassal) for A$51.7m (or S$67m). Tassal is a vertically integrated salmon grower, processor, seller and marketer. According to management, Tassal is also Australia ’s largest producer and marketer of salmon with brand names such as Tassal Pure Tasmania, Tasmanian Smokehouse, twiceaweek and Superior Gold. It employs over 650 people and harvests over 12,000 tonnes of salmon per annum. Tassal’s 5-year EBITDA CAGR growth rate is 34% and this reached A$50.3m in FY2010. The acquisition of Tassal is priced at A$1.79 per share (or a 3.2% premium over yesterday’s closing price of A$1.735).  PARD will be financing this transaction from its own internal sources. We view this deal positively as it offers a complementary fit into PARD’s current operations. In addition, we reiterate our view that consumption of seafood is still on an uptrend and this transaction will aid its positioning in this sector in the coming years. For the near term, we do not see any significant financial impact, but we also do not discount the possibility of future business synergies and opportunities as it deepens its presence in the fishing sector. For now, we retain our estimates. We have a BUY on PARD with a fair value estimate of S$0.40.  (Carmen Lee)

Pacific Andes announce that the Company has on 8 December 2010 entered into a sale and purchase agreement to acquire a total of 28,910,367 shares (the "Sale Shares"), representing approximately 19.76% of the total number of issued shares of Tassal Group Limited for a consideration of A$51,749,556 (approximately S$67.0 million). Tassal, which was established in 1986, is based in Tasmania and is principally engaged in the hatching, farming, processing, sales and marketing of Atlantic salmon in Australia . Tassal has been listed on the Australian Stock Exchange ("ASX") since 2003 and is the largest salmon aquaculture company in Australia . In 2010, it harvested over 12,000 metric tons of salmon and accounted for about 70% of Australia ’s salmon production. Based on the audited financial statements of the Vendor, the value of the Sale Shares in the accounts of the Vendor was A$51,699,000 as at 30 June 2010, and the net asset value of Tassal as at 30 June 2010 was approximately A$245million. The net profits for the year ended 30 June 2010 attributable to Tassal is A$28 million.

Mainboard-listed Pacific Andes Resources Development (PARD), one of the leading global frozen fish suppliers with an integrated supply chain spanning industrial fishing, global sourcing and ocean transportation, says the group has signed a sale and purchase agreement today to acquire 19.76% of ASX-listed Tassal, a vertically integrated salmon grower, processor, seller and marketer, for A$51.7 million ($67 million).

Ng Joo Siang, Executive Director and Chairman, says: “As Australia’s largest producer and marketer of salmon with highly recognised brand names, Tassal is well-positioned as a clear market leader to benefit from the growing Asian demand, particularly in China and metropolitan South East Asia, for salmon. PARD is always on the look-out for opportunities to invest in high-quality resources that are limited in supply, yet enjoy a strong demand. Tassal is a perfect investment fit for the group. Seafood is an industry that the group is very familiar with, and the Australian farmed salmon industry is well-protected with high barriers to entry. The Australian Quarantine and Inspection Service (AQIS) import restrictions and the Tasmanian Government Biosecurity measures combined result in one of the world’s most controlled and healthy farmed salmon supplies.”

Since its establishment in 1986, Tasmania-based Tassal has grown along with the continuously rising demand for seafood. Led by rising population and income, increasing preference for a healthier diet and improvements in cold-chain supply system, the seafood industry looks set to continue this uptrend. With this investment, the group gains a platform that will offer PARD a deeper insight into a new seafood business that offers high growth potential due to favourable supply-demand dynamics.

Result note - Growth opportunities at China Fishery - by Ho Choon Seng CFA

(PAH SP / PACF.SI, OUTPERFORM - Maintained, S$0.34 - Tgt. S$0.50, Consumer)


PAH's 4Q10 core net profit of HK$110m (-8% yoy) was below our expectations, forming 14% of our FY10 core net profit estimate and 13% of consensus. FY10 core net profit of HK$771m (+8% yoy) made up 96% of our FY10 estimate and 92% of consensus. The variance came from lower SCM selling prices, and lower-than-forecast trawling revenue and fishmeal sales volume. Nevertheless, we raise our FY11-12 EPS estimates by 2-3% on higher profit assumptions for China Fishery (CFG). Our sum-of-the-parts target price has been raised to S$0.50 from S$0.36 following a higher target price for CFG (S$2.55 from S$1.75). Maintain Outperform as we continue to expect catalysts from announcements of earnings-accretive expansion/acquisitions at CFG.
