never consult with sgx whether this kind of proposal can or not before announcement of tis plan. this is call kei kcan.

So, anyone can just buy this stock when halt is lifted and later sell back to company or it is only for existing shareholders only? Tks

Just finished reading the announcement for Li Heng. I offer my simpler summary as follows (pls correct my interpretation if it proves to be wrong).

 

Essentially, existing Li Heng shareholders will be given an amount of shares equal to their holding, at a date to be determined later. These new shares ("Newco shares") are proposed for listing on the Hongkong Stock exchange (SEHK), and hold a nominal value of S$0.42.

The Li Heng shares on SGX will still remain tradable, but will be adjusted to reflect the transfer of assets to the Newco should the Newco shares receive approval for listing on SEHK. For existing investors that do not wish to trade the Newco shares on SEHK, they have the option to sell it back to the company at S$0.42.


 In short,

 Current Li Heng share value on SGX = Future value of SGX-listed Li Heng shares + Newco share value on SEHK (supported at S$0.42)

Reasons for Trading Halt *
The reason for the trading halt is due to the pending release of an announcement.

Li Heng Chemical Fibre Technologies Limited (the “Company”) was listed on the Main Board of the Singapore Securities Trading Limited (the “SGX-ST”) on 12 March 2008. The initial public offering of the Company was sponsored by Boulton Capital Asia Pte. Limited (the “Issue Manager”). The Issue Manager assumes no responsibility for the contents of this announcement.  
 
Questions
What can happen to disrupt this newco IPO in HK
What is the minimum to get shareholders approval - 75% of total shares votes ??????
HK Stock Exchnage does not apporve ???

Some companies holding back listing in hong kong due to market uncertainty, yet, china companies are going forward to do dual listing...wait and see can they perform after lising in hongkong.

previous ocbc target price for this is 0.28.  If is shorted down to this price, everyone can buy cheap and sell back to the company at 0.42...

CWQuah, thanks. I think I will just wait and sell back at $0.42 when the listing in HK is confirmed.

U will rcv d Instruction in details. But d gist of the Inst would be d same. They would  include a statement, if share holder dun opt for transfer holdings to HKSE, then u r deemed accepted d 0.42 offer n u will rcv a cheq on d total proceed, as d due date as stated  in d report.

Above is just like SPC episode lately.

Normally, any buying over, there would be up premium for each share, ranging 20-40% for exp. No specific reason why share no sign of moving up. Good luck liao. Cheers.

Basically, as wat he said, u may sell d existing share back to d coy or let it listed in HKSE. If that so, u need to open HKSE trading acc at your broking hse. Then u can trade LH online with HKSE on d broking hse plateform.

Your portfolio will be managed by your broking hse instead of CDP. Broking hse will charge a mthly levy being as a cusdotian for your foreign stocks. However, d levy will be waived if u do certain amount of trading on d broking hse mthly.

Newco will buy over the shares at S$0.42 but I am not seeing the share price moving up much.  Can anyone please help to explain?
