LETTER OF INTENT FOR GRANT OF FACILITIES
AMOUNTING UP TO US$40.0 MILLION
The Board of Directors (“Board”) of JES International Holdings Limited (the “Company”) is
pleased to announce that the Company has entered into a letter of intent (the “LOI”) with a
US based private investment firm (the “Lender”) on 2 August 2013, pursuant to which it is
proposed that the Lender makes available to the Company a facility of up to a maximum
aggregate of US$20 million with the option of the Company (subject to approval from the
Lender) to request an additional facility of up to a maximum aggregate of US$20 million (the
“Facility”).
A summary of the indicative principal terms and conditions of the Facility as set out in the
LOI are as follows:
1. Facility Amount : - A facility of up to maximum aggregate of US$20.0
million
- Subject to approval from the Lender, the Company
shall have the option to request an additional facility
of up to maximum aggregate of US$20.0 million
2. Purpose : Working capital of the Company
3. Tenure : The tenure of each Loan shall be for a period of 3 years
commencing from the date of each disbursement
4. Guarantor : JES Overseas Investment Limited
5. Fees : The Company shall pay the Lender:
(i) A Maintenance Fee equal to 5% per annum on each
Loan (payable quarterly in arrears at the rate of
1.25% per quarter)
(ii) An Upfront Fee equal to 5% on each Loan (to be
deducted from the proceeds of each Loan
disbursement)
The shareholders of the Company (“Shareholders”) should note that the LOI is not
intended to be legally binding on the Company and the Lender (the “Parties”) save for
certain terms specified therein. The principal terms of the Facility as set out in the LOI
are subject to the terms and conditions to be agreed and set out in the definitive loan
agreement to be entered into between the Parties (the “Definitive Loan Agreement”).
The Parties will use their best endeavours to negotiate and enter into the Definitive
Loan Agreement within 2 weeks from the date of the LOI and the Company will
continue to update Shareholders on the Facility and upon the signing of the Definitive
Loan Agreement.

Is this a "s" chip company ? Is the director holding more than 70% of the company shares do you know how many shares in the hand of public ? Thanks in advance ....

- Delist at good price
- Takeover at good price
- Fresh funds injection/placement by prominent funds/persons
- Winning a very big contract

They never request for trading halt for the last 5years !!! 3directors just bought shares from market think should be good news if not how come they buy already then halt ...... cannot be bad news they go and buy ....let's hope is a good one !!!!!
