The Board wishes to announce that TCC Assets Limited (" TCCA" ) and Thai Beverage Public Company Limited (" ThaiBev" ) have informed the Company today of the following:

(a) TCCA has not been able to dispose of the Company’s shares with a view to restoring the public float during the Initial Period, due to the following:

(i) TCCA was in discussions with potential investors on the disposal of the Company's shares during the Initial Period, but was unable to undertake the disposal as market conditions became unfavourable and

(ii) the ongoing Review, which may lead to an evaluation of possible corporate actions by the Company

(b) accordingly, a request has been made to the Singapore Exchange Securities Trading Limited (" SGX-ST" ) for a further extension of time until 31 December 2013 to restore the public float of the Company, in view of the current market conditions and the time required for the Company and its advisers to complete and evaluate the Review

(c) further to the discussions with the SGX-ST and assurances given by TCCA to the SGX-ST:

(i) the Company has been allowed an additional and final period of up to 31 December 2013 to restore its public float and

(ii) trading of the Company's shares will continue during the abovementioned period beyond 19 July 2013.

The Company will update shareholders as and when it has further information regarding the restoration of the public float of the Company.

Not a good pcs of news.

More debts/cost for reits listing & management.Interest rate hike will hit the company belt badly in time to come.

F& N is the better choice.

this maybe a catalyst: Citing company sources, Singapore’s Today newspaper also reported this month that Thai billionaire Charoen Sirivadhanabhakdi is planning a REIT that could be valued at more than $2 billion and include assets from Fraser and Neave and his own firms. An external spokeswoman for Charoen’s group declined comment to Reuters

UBS initiates Coverage with Sell Call and $0.51 TP. House think valuations are rich and that there are specific risks ahead. Rollback of rice subsidy and recent excise tax hike could hurt spirit sales Spirit sales (ThaiBev’s key profit driver) are likely to weaken in tandem with the slowdown in broader consumer spending in Thailand. The government’s plan to lower the minimum guaranteed price of rice and the excise hike in 2012 could dampen sentiment and lower the disposable income of farmers/low-income workers who may either cut consumption or switch to cheaper home-made spirits. F& N restructuring scenarios and potential risks for ThaiBev: The underlying value at which the individual businesses are transacted during the potential restructuring of F& N could be a near-term risk for ThaiBev’s shareholders. House discuss two possible scenarios in this report.

In summary, the lower the transacted value of F& N’s property business, the more ThaiBev will have to pay TCC Assets (owned by ThaiBev’s chairman) as part of the proposed restructuring of F& N. House value the spirits and beer business using DCF (terminal growth of 3% and a WACC of 7.7%) and listed subsidiaries and associates (Oishi, Sermsuk and F& N– ex S$3.28 capital reduction) at market prices. Launch ThaiBev as a UBS Key Call Sell.

The possibility of rights has already been priced in .Normally before rights, prices are ramped up so that rights can be issued at higher price. So this downward trajectory is strange.

UBS's call at 0.51 is premised mainly on lowered demand for   Thaibev spirits arising from slashing of price of purchase of rice by Thai govt from farmers. My view : illogical and flimsy premise . Consistent studies have shown that demand for spirits increase in gloom and doom periods. So, if central premise of UBS report is suspect, their target price also questionable.

thaibev is trading downwardly everyday for the last 4 weeks from high of 68 cents. Insider must know something we don`t know and the big boys are selling... could there be a right issue coming to finance the restructuring??? . Yesterday short seller is big , about 27 million share shorted.  UBS has a call for sell and tgt price is 51 cents.

Not very comfortable with the head & shoulder pattern formed and the dead cross. Maybe smart money getting out because of impending rise of interest rate.
