KS ENERGY’S BUSINESS CONSOLIDATION PROPOSAL
RECEIVES STRONG SHAREHOLDERS’ SUPPORT

KS Energy to become a leading integrated oil & gas and marine distribution and services hub

Enlarged entity to boost revenue and reap cost synergies

KS Energy to harness strengths and network of Actis to accelerate growth
SINGAPORE, 25 March 2010 – Main board listed integrated oil & gas services provider, KS Energy Services Limited (“KS Energy”) is pleased to announce that it has today received approvals and strong support from the shareholders of KS Energy, Aqua-Terra Supply Co Ltd (“ATS”) and SSH Corporation Ltd (“SSH”) to consolidate the oil & gas and marine distribution and services businesses of the three companies (the “Business Consolidation”).
Upon completion of the Business Consolidation, ATS and SSH will be privatised and become wholly-owned subsidiaries of KS Distribution Pte Ltd (“KS Distribution”), which will in turn be a 55% subsidiary of KS Energy. The other 44.375% of KS Distribution will be owned by funds managed by Actis LLP (“Actis”), a leading private equity investor in emerging markets, and the remaining 0.625% will be held by the CEO-designate of KS Distribution.
Commenting on the strong support from shareholders, Mr. Kris Wiluan – Chairman and CEO of KS Energy said: “The Business Consolidation marks an important milestone for KS Energy. As a fully integrated group, we will be in a better position to develop and grow our distribution business. I thank all the shareholders for their trust and support. I am confident that this initiative will improve shareholders’ value and bring added benefits to all our customers and investors.”
As the region’s leading oil & gas and marine distribution and services hub, KS Distribution will represent more than 300 globally accredited brands and will distribute more than 60,000 oil & gas related parts. KS Distribution will provide employment to more than 850 employees across nine countries.
KS Distribution will be able to provide better services and meet the needs of its customers by providing a larger suite of products and more value-added services. And with full amalgamation of the distribution operations of the three companies, KS Distribution is expected to enjoy marketing and cost synergies. In addition, KS Distribution could tap into the global network of its partner, Actis, which has a presence spanning Africa, Asia and Latin America, to access additional oil & gas and marine industry opportunities.
Gary Addison, Partner at Actis in Southeast Asia, said, “We are pleased that the shareholders have supported this transaction and are excited to partner with KS Energy. We look forward to working closely with Mr. Kris Wiluan and the KS Energy group to realise the full potential of KS Distribution and to harness the scale and breadth of its combined businesses across Asia and other emerging markets”.

Mr. Kris Wiluan, who will also be the Chairman of KS Distribution, added: “I am confident that with the strengths of the combined distribution businesses of KS Energy, ATS and SSH, KS Distribution will quickly become the leading oil & gas and marine distribution player in the region and a valuable partner to our customers. And in the mid term, we plan to expand our overseas operations in China, the Middle East and Indonesia.”
The management teams of KS Energy, ATS and SSH will be working closely together to rationalise and streamline the complementary operations of the three companies. Having worked under the same KS Energy group umbrella over the past few years, the three companies will be able to move quickly to consolidate the businesses and continue to work well as a team.
Subject to court approval and other closing procedures, the Business Consolidation is expected to be completed in May 2010.

With oil price moving up above $71pb, KS should move up slowing crossing $1.4 by end dec.

Analysis predict oil price to go above $100 next year 2010. So high chance of KS to go above $2 again.

Actis, KS Energy team up in $320m buyout

KS Energy Services, the maker of drilling equipment for explorers, said it is teaming up with
private equity firm Actis LLP in a $320 million cash and stock purchase of five related companies.


KS Energy is consolidating its units Global Tech, KS Projects Division, KS Flow Control and
Aqua-Terra Supply Co. and a related venture SSH Corp. into a new joint venture with Actis, the
company said in a statement today. Actis will pay $142 million in cash for a 44.375% stake in KS
Distribution, Gary Addison, partner, Southeast Asia, for the UK-based firm, said in Singapore today.


“We see much better synergy if we consolidate our business,” KS Energy Chairman Kris Wiluan told
reporters in Singapore today. The company may close the transaction by April, Addison said.


Gains in crude oil prices, which gained 67% this year in New York, have sparked increased exploration
efforts from the Gulf of Mexico to the Indian Ocean, boosting the prospects of companies that offer rigs,
pipes and other support services to explorers. KS Energy rose about 16% this year and closed at $1.15 on
the Singapore Stock Exchange.


KS Energy will issue new shares in the company as part of the stock deal, Wiluan said. The minority shareholders
in Aqua-Terra will receive 23 cents in cash and 0.125 new KS Energy shares for every Aqua-Terra share acquired
while for every SSH share the stakeholder will get 16 cents in cash and 0.1 new KS Energy shares, the statement said.

KS Energy reports 107% jump in Q1 earnings to S$11.1m

SINGAPORE: Mainboard listed KS Energy has seen its first quarter earnings more than double. Its net profit came in at S$11.1 million, up 107 per cent on-year.

The firm also enjoyed a 70 per cent rise in revenue to about S$108 million.

KS Energy said it benefited from the prevailing strong demand in the oil and gas, petrochemical, marine and infrastructure industries.

Both its capital equipment and services business and the distribution business turned in strong performances in the first quarter.

Looking ahead, chairman and CEO Kris Wiluan said the oil and gas landscape is vibrant, and oil companies are increasing their exploration and production capital expenditures to meet escalating energy demand.

KS Energy said it is optimistic about its performance in the current financial year. - CNA/ac

WRIT OF SUMMONS

KS Energy Services Limited (“KS Energy”) wishes to inform that it has been served with a Writ of Summons, on 28 October 2009, in respect of a claim by BR Energy (M) Sdn. Bhd. (“BRE”) for alleged breach of the joint venture agreement entered into between the parties on or about March 2006. Management of KS Energy has referred the claim to its lawyers and will issue a further statement in response to the claim in due course.

just my piece of comment, when ks energy drop, the impact of it is quite high. But sometime, maybe once a month or so, it went up from maybe 1.24 to 1.32-1.34 withins mins suddenly. It is operated. However if i have money to hold, i will hold, but when it hit to 1.3 something, i will definitely sell. But sometime it may increase beyond that. But for very long term, it can be hold.or i will avg it down, at least 1.25 is far more easier to hit than 1.4. Most people dont suggest avg down, but ks at the near future wont disappear. So i will try fast fast get rid of it or hold it. But i still prefer avg down to 1.2 something if possible. That what i think, dont bombard me regarding avg down. Btw, i had friend who did nothing, bought at 1.29, when increase, never sell and i think he dont wish bother already. another one is 1.24, increased and earned but dont bear to sell. Anyway there are people still holding. But it will take quite some time for this counter but i have confidence it will hit 1.2 something. But maybe not 1.4 so fast.

Hi aircraft , the bottom line of the triangle must be  in the correct position , then  u can get the correct measurement .

Hi Bintang,

Thanks for your help. I tried using the widest portion of the triangle and add to the breakout point. Only get $1.7- $1.8. Dunno what went wrong..
