The Board of Directors of Advance SCT Limited (?ASCT?) wishes to announce that

ASCT has entered into a conditional agreement with Tembusu Growth Fund Limited

(?the Fund?) to acquire the Fund?s 20% stake in TTM Industries (M) Sdn Bhd

(?TTMI?). ASCT currently owns 80% of TTMI and upon completion of the proposed

acquisition, TTMI will become a wholly owned subsidiary of ASCT.

The Board of ASCT is of the view that the proposed acquisition is earnings accretive

and will broaden the earnings base of the Group.

TTMI owns a 60,000 metric tonne copper smelter located at Port Klang in Malaysia.

The copper smelter began operation in 2Q FY2007.

When ASCT acquired the 80% stake in TTMI in early FY2007, the vendor (Lee Kok

Peng) provided a profit guarantee of S$7 million for TTMI for the 12-month period

from 31 March 2007 to 31 March 2008. Based on the unaudited net profit after tax of

not less than S$12 million for TTMI for the 10 months ended 31 December 2007 and

on a willing buyer willing seller basis, ASCT will acquire the remaining 20% of

TTMI from the Fund for S$11,050,000. This valuation is equivalent to a price

earnings ratio of approximately 4.6 times the unaudited net profit after tax of TTMI

for FY2007.

The purchase consideration of S$11,050,000 will be satisfied by the allotment and

issue of 11,882,000 new ordinary shares in the share capital of ASCT at an issue price

of S$0.93 per new share.

Logistics Private Limited, Mr Giam Yew Kang and Mr Ng Meng Tack (the

?Vendors?) to acquire a 100% interest in Ever Glory Logistics Private Limited

("EGL") for a sum of S$1,500,000. The consideration is concluded following arms

length negotiation on a willing buyer, willing seller basis.

EGL is a freight and logistics management company based in Singapore which owns

a fleet of prime movers and trailers. EGL currently manages the movement of freight

containers for numerous customers includingASCT..

Under the agreement, ASCT will pay the sum of $1,500,000 in two parts: S$600,000

will be satisfied in cash and S$900,000 will be satisfied by the allotment and issue of

927,835 new shares in ASCT at an issue price of S$0.97. As a condition of the

agreement, the Vendors have given an undertaking to ASCT that the Net Tangible

Assets of EGL as at 31 December 2007 will be no less than S$1,000,000 and the net

profit after tax of EGL for the 12 months ended 31 December 2007 will be no less

than $200,000.

ASCT is actively expanding its copper supply chain management business in the

region. The Board of ASCT is of the view that the acquisition of EGL will improve

and enhance the logistical infrastructure that supports ASCT's growing copper supply

chain management business. With better control of EGL and an efficient logistical

infrastructure, ASCT will be able to keep a shorter turnaround time for the import of

raw materials and the export of refined copper products. A quick turnaround is

important to the management of the copper supply chain business for ensuring better

customer satisfaction as well as reducing holding cost.

Doesn't feel too comfortable with it for time being.

For longer term play; while still waiting for Design Studio entry.
Adv Sct is an integrated supply chain in the copper play. Fundamentals also not bad.

this counter definitely will b heading upwards.. since copper and gold.. is heading north too.. moreover.. tis counter will b commissioning their new plant by end jan to mid feb.. so.. tis counter will swing back to 1.1 and mayb 1.2 easily.. but is long term investment lor..

Hi Senior DnApeh,

   It will, infact Adv SCT very resilence in spite of 50 points or more drop within thu and fri days end, and the coming high to 1.10plus is this month and next month or Feb is 1.20-1.30plus at least...

  Fed should cut rates on Wed 0.25, let Adv SCT go till around 0.95 to 1.05 plus these coming Monday and Tuesday and it still rebounces stronger. In fact this stock has been lagging other favourite or flattered stocks... Towards Tuesday it should rise... And once bull should bull for till CNY.....

  Copper like gold and silver is going to rise till at least 50%. So it is good stock to hold or buy. The cash flow is fine...
