During bull run, RTO will push up the price till madness. Current situation RTO does not have much impact. Furthermore, many bros like me struck here with Achieva due to such news last year Smiley

Nice step up to 15c as the news filters out. Smart money coming in before EGM as they do the maths on the yield. Very attractive yield assuming the biz fundamentals of the remaining biz remians sound.

NAV (as at 31 Dec 07) is 13.4c

Post disposal of the Components Div -  NAV will be approx 18+c.

Today Co. declared cap red of 6 c. ....extrapolating...NAV post cap red will be about 12+c? (18+c - 6 c = 12+c)...not counting 2008 YTD earnings.

Closing price 14c.....so, if bought at this price, cost, post cap red, is 8c. (14c - 6c = 8c)

Investor need to make their own decision according to their own risk appetite and comfort level.

Caveat emptor.

Finally............ very attractive yield at current price of 13.5 to 14c. Once the proceeds come in, NTA will be about 18.5 to 19c so deducting cap reduction, post NTA will be 12.5 to 13c.

Hope they still give dividend on top of cap reduction later on.

News of Chairman's accident is unfortunate...but it does not change the fundamentals of the company for the time being.

More towards bad news but can see as opportunity to load up more....

The Board of Directors of Achieva Limited (the “Company” or “Achieva”) wishes to announce that Mr Henry Lim Yong Choon, Executive Chairman of the Company and co-founder of the Achieva Group, was involved in a car accident on 25th May 2008 whilst on a business trip in the People’s Republic of China.

Information relating to the accident is sketchy but the Company understands that Mr Henry Lim’s condition is currently being monitored and he has been under intensive medical care since the accident.

Mr Tony Ng Fook San, the President and Chief Executive Officer of the Company, is currently responsible for managing the overall business of the Achieva Group. With immediate effect, as an interim measure, Mr Tony Ng will cover the operational duties of the Executive Chairman. All business matters cum operations will continue as normal and will be covered by Mr Tony Ng.

The Board wishes Mr Henry Lim a speedy recovery.

I don't think this issue was clearly addressed in the announcement. However, if the personnels was/were principally directly involved/responsible for the unit being sold, and if his transfer was part of the deal, I don't think it will make that much of a difference....cos, afterall, the Co. will no longer be involved in that business.

If you are a shareholder, you can, of course, raise this issue in the EGM.

agree with shplayer's comments. Distribution of cash back to shareholders is a definte. Others why would key directors/shareholders agree to sell. If we look at other asset sales like Singapore Shipping 3yrs back, Seksun last year, more than 50% of proceeds was distributed so 6cents look like a good bet. Anyway, post sale NTA of 18c of which much is cash will render existing price of share undervalue in the short term.

S&P Agreement signed early March 08. Achieve needs cross a few markers:

  1. Buyout the minority shareholders of some subs companies - this is done.
  2. Get SGX approval for the sale - this is done.
  3. Call EGM for shareholders' approval - this is expected shortly....think motion will be passed.

Not sure what buyer, Arrow, needs to get through....but I suspect they already got board approval for the purchase. Arrow is a US multi billion $ company. This deal to them is comparatively small so they probably need not get sharholders' approval.

My opinion is, now that SGX in principle approval is given, there is a high chance of the deal going through.

If you refer to my earlier posts, net cash proceeds from this deal is approx 12c per share.

As of 31 Dec 07, Co. has net current asset of about 3.5c per share.

So, with this deal, Co.'s net current asset will be about 15.5c per share of which most of it is cash.

After the deal, NAV will rise to about 18c per share.....current share price is 13.5c....so there is a disc to NAV of about 25%

In the S&P announcement, Co. did say that they will use the sale proceeds return to shareholders and to look for new businesses.

How much will be returned to shareholder????? I don't know....but say 50/50 for return  and new business???....maybe 6c per share????.....just a wild guess.

Personnal opinion, Caveat emptor.
