 CSE Global Ltd (“CSE”), through its wholly owned Australian subsidiary, CSE-Global (Australia) Pty Ltd, has entered into a sale and purchase agreement with Sofoulis Holdings Ptd, Robert Nicholas Sofoulis and Wendy Michelle Sofoulis (collectively known as “Vendors”) to acquire 100% of ASTIB Group Pty Ltd (“ASTIB”) for an initial consideration of AUD34.85 million (approximately SGD46.65 million), comprising cash of AUD30 million and 5 million ordinary shares of CSE and upon meeting certain profit targets for 2011 and 2012, up to an additional 15 million ordinary shares of CSE will be paid ( approximately SGD19.05 million), giving a maximum consideration of approximately SGD64.7 million.

buying today seems positive, but almost every buy-up is followed immediately by a smaller sell down, sometimes 1sec after.

is someone playing tricks? wondering if any of the seniors can advise on how to interpret this.

Here's some extracts from the BusinessTimes article on 20th April 10:

'We decided to wait out the global economic slowdown. But the timing is now right to go back into the market, which is why we are building up this war-chest,' Mr Tan added. 'Our strategy has always been to buy into well-placed companies with a ready and strong portfolio of business, then work with management to further expand this business.'

CSE is currently on the lookout for technology companies control automation, telecommunications and security in minerals and oil & gas in Australia and the Middle East.

Last month, it spent £10.1 million to buy Aberdeen-based Systems Integration & Automation Ltd, whose clients include Amec, Apache, BP, Chiyoda, Exxonmobil, Perenco, Shell, Wood Group, Talisman, SBM and Petrofac.

Meanwhile, it is growing its already considerable footprint in the healthcare sector in England.

In London, it is implementing its hospital management software in all 10 Mental Health hospitals and 31 community hospitals. In South England, it is currently involved in 12 out of 14 Mental Health hospitals and 13 out of 16 community hospitals.

'We currently control two of five clusters in England, with a dominance in London and the south,' Mr Tan said. 'We are now looking at North England.'

This kind of aggressive acquisitive growth has seen CSE chalking up compound annual growth rates of some 20 to 30 per cent over the last 10 years.

Oil & gas accounts for 60 per cent of its business, while healthcare accounts for 10 per cent. The remaining one-third are mining & minerals, and infrastructure (power, environment, waste-water treatment and transportation).

Mr Tan sees 2010 as a record year for the company.

Having come into the current financial year with a project backlog of some $390 million, he expects this to balloon to $600 million, thanks to a revival of energy spending around the world and increased spending by the UK healthcare system.

'New orderflows have been very strong,' he said.

But he also added that the aggressive acquisition had not weighed down the company's balance sheet.

'We have generated some $170 million in operating cash in the last 10 years,' he said. 'That is why we didn't have to borrow more than we did.'

Still, a portion of the $38 million will go towards reducing its gearing from 30 per cent to 20 per cent.
