ESTABLISHMENT OF JOINT VENTURE COMPANY AND SUBSIDIARIES
WITH DATO ERIC CHUAH
INTRODUCTION
1.1 The Board of Directors (the “Board”) of MediaRing Ltd (the “Company”) wish to announce
that the Company has entered into a Binding Document (“BD”) with Dato Eric Chuah (“DEC”),
the CSL Group Companies (as defined in paragraph 1.2 below) and Spice Global Holdings
Pte Ltd (“Spice”) where the Company and DEC will form a joint venture company in
Singapore (“Newco”) and subsidiaries in various other jurisdictions as required to acquire
certain intangible assets (the “Assets”) of the CSL Group Companies (the “Transaction”).
DEC has entered into the BD for himself and on behalf of the CSL Group Companies. The
parties to the BD will in due course enter into various definitive agreements (the “Definitive
Agreements”) to fully implement the terms of the BD. The BD shall remain legally binding
between the parties to the BD until the execution of the Definitive Agreements.
1.2 The CSL Group Companies comprise of the following entities:-
(a) CSL Holdings Sdn. Bhd.;
(b) CSL Multimedia Sdn. Bhd.;
(c) PT. CSL Indonesia;
(d) CSL Shenzhen Ltd; and
Any other company owned or controlled by DEC that is involved in the business of mobile
handsets.
