This Kreit right issue is underwritten by DBS & UOB - that means Keppel Group is not confident that it will be fully subscribed by retailers who holds balance of 23.7% even though Keppel Group owning majority 76.3%. I expect Kreit to fall to below $1 tomorrow.

Impact of sales of Ocean Financial Centre is very positive for KepLand shareholders but negative to Kreit unitholders. I expect Kepland to hit $3.00 tomorrow.
 
- NTA = Up from $2.97 to $3.61 (i.e. + 64c per share)
- Net gain =   $492.7million
- Debt-to-equity = from 37.6% to 3% (i.e. near zero debt)
- After 99yr ownership of OFC will revert to KepLand (i.e. sale of OFC to Kreit is for 99-yr period only. bal of lease is 850yrs minus 99yr = 751yrs to be enjoyed by Kepland).

K-Reit to buy 87.5% of Oceans Property from KepLand's unit for S$2b

K-Reit Asia on Monday announced that it has entered into a sale and purchase agreement with Straits Property Investments Pte Ltd, a wholly-owned subsidiary of Keppel Land Limited, for the acquisition of an 87.51 per cent interest in Ocean Properties Pte Limited for 99 years.
The agreed value for the acquisition, including a five-year rental support of up to $170 million, is $2,013.1 million.
Savills Valuation and Professional Services (S) Pte Ltd and Knight Frank Pte Ltd have independently valued the acquisition as at Sept 15, 2011 at $2,054.0 million and $2,050.0 million respectively.
Ocean Properties owns Ocean Financial Centre, a landmark Grade A 43-storey premium office tower which is one of the largest and newest office developments with environmentally sustainable features located in Singapore's central business district, comprising approximately 884,957 sq ft of net lettable area.
K-Reit Asia Management Limited, the manager of K-Reit Asia, plans to fund the acquisition with the proceeds from a proposed underwritten renounceable rights issue and bank borrowings. Post-acquisition, K-Reit Asia is expected to have an aggregate leverage level of 41.6 per cent.
'The acquisition of Ocean Financial Centre, one of the best premium commercial buildings in Singapore's business and financial district will enhance our portfolio significantly as well as improve our distribution per unit to our unitholders,' said A-Reit Asia CEO Ng Hsueh Ling.
The acquisition, expected to be completed no later than Dec 31, 2011, is subject to the approval of unitholders at an extraordinary general meeting expected to be held on Nov 10, 2011.
The last time both halted was when Kepland sold certain properties to Kreits. When lifted, Kepland share px shoot UP but Kreit goes down.
A lot of good new opportunities happen at the bottom of downtrend.
