Background
The Group was established in 1989 to manufacture specialised engineering products for hi-tech and data storage devices. It was listed on the Mainboard of the SGX-ST since 1994.
In 1996, it diversified into large-scale commercial production of aeroponic vegetables in Singapore which was disposed off in 1999. In 1997, it changed its name from CAM Mechatronic Ltd to its presentname.
The Group's business is in component and contract manufacturing in Singapore, Philippines and Malaysia. The Company is an investment holding company.
In October 2003, the Group successfully completed its debt restructuring exercise and, after over six years of suspended trading, CAM shares werere-listed on the Main Board of the Singapore Stock Exchange on 15 October 2003.
The Group was renamed to Amplefield Limited on 8 November 2006.

(1) PROPOSED DIVERSIFICATION OF THE BUSINESS OF THE COMPANY INTO
PROPERTY INVESTMENT, PROPERTY DEVELOPMENT, CONSTRUCTION AND
BUILDING MATERIALS AND
(2) PROPOSED RENOUNCEABLE NON-UNDERWRITTEN RIGHTS ISSUE OF
SHARES (THE ?RIGHTS ISSUE?).
(collectively, the ?Proposed Transactions?).
1. The Board of Directors (the ?Board?) of Amplefield Limited (the ?Company?) refers to
the announcements released on 29 June 2012, 16 November 2012 and 28 March
2013 (the ? Earlier Announcements?). Unless otherwise defined, all capitalised
terms shall bear the same meanings ascribed to them in the Earlier Announcements.
Further to the Earlier Announcements, the Board wishes to announce that Dato Yap
Teiong Choon has on 20 August 2013 given an irrevocable undertaking (the
?Irrevocable Undertaking?) in favour of the Company that, inter alia:-
(a) he will not transfer, sell or otherwise dispose of his interest in his Shares held
as at the date of the Irrevocable Undertaking prior to the Books Closure Date
and
(b) he will subscribe or procure subscription(s) in full for his entitlement of the
Rights Shares under the Rights Issue based on his shareholding as at the
date of the Irrevocable Undertaking. Based on his shareholding as at the
date of this announcement, his entitlement of the Rights Shares under the
Rights Issue is 926,229,560 Rights Shares.
2. The Irrevocable Undertaking will be conditional upon the following:
(a) approval in-principle having been granted by the SGX-ST for the listing of and
quotation for the Rights Shares on the SGX-ST
(b) the Rights Issue being approved by Shareholders at the EGM
(c) the lodgement of the OIS in connection with the Rights Issue by the Company
with the Monetary Authority of Singapore
(d) the SIC Waiver having been granted and
(e) approval of the Whitewash Resolution by the independent Shareholders at
the EGM.
3. INDEPENDENT FINANCIAL ADVISOR
The Company has also appointed Partners Capital (Singapore) Pte Ltd as the
independent financial adviser (?IFA?) to advise the Directors who are deemed
independent for the purpose of the Whitewash Resolution.
4. APPROVALS
The Company is in the process of preparing its application to the SGX-ST for
permission to deal in and for the listing of and quotation for the Rights Shares on the
Official List of the SGX-ST, and its circular containing further information on, among
other things, the Proposed Transactions and enclosing the notice of the EGM to be
convened in connection therewith.
