1. The Board of Directors (the “
announcements dated 21 and 28 February 2010 regarding its entry into Definitive
Agreements with Dato Eric Chuah (“
Spice Global Holdings Pte Ltd for the establishment of a Newco and subsidiaries in
various other jurisdictions as required to acquire certain intangible assets of DEC and
certain companies controlled by him (the “
defined herein, capitalised terms have the meaning given to them in the JV
Announcements.
2. The Board wishes to announce that Completion of the acquisition of the Sale Assets
by Spice-CSL Pte Ltd (“
on 24 March 2010. Spice-CSL is the joint venture subsidiary between the Company
and DEC, in which the Company holds a 65% stake and DEC holds the remaining
35% stake.
3. As stated in the JV Announcements, the Consideration provided by Spice-CSL to
DEC was

Fully agree. When they collect enough the scenario will be different. The new management teams are from India, the Indian is good at publicity and marketing.
