The existing shareholders had been diluted with 220 million new shares issued cheaply at $0.001/shs on top of the 3.9 Billion new shares issued to Ezion Holdings at $0.0018/shs a week ago.

AGREEMENT AT AN ISSUE PRICE OF S$0.001 PER SHARE
The Board of Directors of YHM Group Limited (the “Board” or “Company”) refers to announcement of
28 March 2012 in respect of the S$500,000 Convertible Loan Agreement dated 28 March 2012 (the
“Announcement”).
Unless otherwise defined or the context otherwise requires, all capitalized terms herein shall
bear the same meaning as used in the Announcement.
The Board wishes to announce that it had on 30 October 2012 allotted and issued 220,000,000 new
ordinary shares at the conversion price of S$0.001 per share in the share capital of the Company
pursuant to the conversion of S$220,000 in principal amount of the outstanding Loan to the Lender.
The Company had drawn down to-date a total of $440,000 and after the aforesaid conversion, the
outstanding principal amount is $220,000.
The aforesaid 220,000,000 new shares will be listed and quoted on the Catalist on or around 1
November 2012. The new shares will rank pari passu in all respects with the existing shares of the
Company in issue.
Following the issue of the 220,000,000 new shares in the Company, the number of issued and paidup ordinary shares of the Company will be increased from 2,886,211,043 ordinary shares to
3,106,211,043 ordinary shares.
