They want to give ThBev some hope that they can still acquire Kirin's 15% of F& N but will definitely be at a higher price than before?
Kinda ask ThBev dont give up ..

The Charoen-linked companies collectively own 33.5% of F& N.
Kirin, the second-biggest stakeholder in F& N behind the Thai group, with nearly 15%, is considering several options, including selling its stake, sources say.

"All these moves will position ThaiBev with a strong Southeast Asian presence." The September 2011 acquisition of Serm Suk was strategic given its strong non-alcohol product portfolio and logistics infrastructure, with ThaiBev seeing stronger growth prospects for non-alcoholic beverages and with Serm Suk providing an efficient returnable bottle system, it says.
ThaiBev's valuation on consensus forecasts is undemanding at 14.8x FY13 P/E vs projected 12.7% on-year EPS growth vs regional F&B consumer companies' 21.7x and 11.9% on-year respectively, it says. UOB-KH doesn't rate the stock.
On a technical basis, the stock could find support at $0.39, while a break above $0.44 could spur a test of $0.475, it says. The stock is down 1.2% at $0.41.

THBev & TCC just need to gather more than 50% to close the fate for F& N. Don't need 100% consuming.

Buy all out n privatized F& N will cost the Thai a fortune.
Earlier news been saying that the Thai may not buy all F& N share, n may not privatized F& N already.
As the Thai mentioned that privatized whole of F& N will cost a lot.
The Thai target seem to be the last 2 major share holder in Prudential & Kirin. Both party in new exhibit interest in selling but HIGHER price needed.
Why eating these 2 are important? Bc their share percent allow them to be able to interfere in decision making of the Group.
Clearing both will make the path clear with F& N to deal with only. Lesser party better. More cook spoilt the soup.
The rest of the shareholder in public...i doubt is their interest.. To them can take more from public is good, if cannot, is ok now.
Anyway the move to date by the Thai makes business sense. Take the whole of F& N, emm seems like no point at all...
Current F& N share value is overvalued if no coy bidding for it. F& N actually know the consequence also..
N it is interesting to see how F& N director deal with it. A wrong move will send F& N share price bk to ~$6 (bk to future).

Current situation work best to THbev.
N the Thai had already mentioned that they may not privatized F& N. They may just go for major share holding.
Thus my guess is THbev may liaised with Prudential & Kirin to get their share.Leaving the rest to , whoever who want to sell than sell to them... No obligation 
If that the case... F& N investor.....now maybe their best chance to sell at high at their own risk also.
Things may only change if the Thai willing to fork out higher cost to eat the whole of F& N (that i doubt so, and not keen to see such thing happen also as it may not benefit THBev. ) 
Lastly rem once THbev stop acquiring, i believe F& N stock value will drop..... It is a common sense thing.
 
Anyway let continue monitor how the whole saga goes...

Shares of Thai Beverage Pcl rose as much as 11.5% on Wednesday after its takeover target Fraser and Neave received a bid for its hospitality and serviced residence business.
Companies linked to Thai billionaire Charoen Sirivadhanabhakdi, including Thai Bev, own 33.5% of F& N and have launched an offer to buy all of the Singapore group. By 11:29 a.m., Thai Bev was up nearly 9% at $0.425 on volume of 87.3 million shares traded, 2.7 times its average daily volume over the last five sessions.
Overseas Union Enterprise made a $1.4 billion bid for F& N’s hospitality and serviced residence unit that was rebuffed by the Singapore conglomerate, a source with knowledge of the matter said. |
