MediaRing shares jump

By SIOW LI SEN

MEDIARING shares soared as much as 11.8 per cent to 42.5 cents in heavy trade yesterday on talk that Singapore Telecommunications was looking to buy a stake in the company.

More than 93.2 million MediaRing shares changed hands and the stock closed three cents or 7.9 per cent up at 41 cents. The six-month average daily volume was 27 million shares.

A SingTel spokeswoman declined to comment.

MediaRing, a leading company in Asia of VoIP (voice over Internet protocol), which refers to cheap telephone calls over the Internet, was one of two parties involved in a battle last year to take over Internet service provider Pacific Internet (PacNet). It is one of PacNet's single largest shareholders.

This week, substantial shareholder Lee Pineapple Company saw its deemed interest in MediaRing rise to 9.38 per cent from 8.18 per cent, after open market purchases by Paramount Assets Investments Ltd.

Earlier in the month, MediaRing extended a popular December promotion of unlimited free calls until end-January to five places - Singapore, the US, Canada, China and the UK.

The speculation over SingTel and MediaRing has come at a time when the giant telco has decided to provide VoIP to its fixed-line home customers as part of an aggressive marketing campaign to lift market share of telco services.

Both telco companies also have much in common. MediaRing's seven-man board has three former senior SingTel people. MediaRing executive director Koh Boon Hwee used to be SingTel's non-executive chairman and independent directors Lucas Chow and Sin Hang Boon were former senior SingTel executives.

A PacNet listing here?
Internet service provider key to Asia Netcom?s SE Asia presence
CHOW PENN NEE
pennnee@mediacorp.com.sg

NASDAQ-listed Pacific Internet (PacNet), the subject of a takeover bid, could be listed in Singapore should the takeover succeed, said a firm whose parent is looking to buy PacNet. Net was listed five years ago on the Nasdaq as a place for tech stocks, now it makes sense for us to list
it somewhere else, maybe Singapore,? ventured Mr Bill Barney (picture), the chief executive of Asia Netcom
yesterday, in an interview with TODAY.
Connect Holdings, which owns telecommunications network operator Asia Netcom, announced earlier this month that it was offering to buy the
remaining 58.27-per-cent of Internet service provider PacNet that it did not already own for US$10 ($15) per share.
South-east Asia is where Asia Netcom wants to make its presence felt, by using PacNet as a platform, said Mr Barney. ?Pac-
Net is in many key markets in South-east Asia,? while Asia Netcom has a big presence in Japan, Australia, South Korea, Taiwan and
the United States, he added. Asia is also where the company wants to grow organically and inorganically. He downplayed the possible tussle that
might ensue between Asia Netcom and MediaRing for control of PacNet. MediaRing had previously launched a US$9.50 offer for each Pac-
Net share but was rejected by Vantage, PacNet?s largest shareholder then. ?MediaRing has been our partner, as one of our
suppliers for the voice business,?
he said, adding, that there was no fight or hostile takeover. He expects regulatory
approval from the Infocomm Development Authority within 30 to 90 days.
?PacNet is big in the consumer and SME (small-and-medium-enterprise) business and our products don?t overlap,? he said. ?We?re
not going to change PacNet all that much,? should the takeover succeed he said, adding that Asia Netcom was happy with PacNet?s
business model, staff and management

Very confusing merger details and assumption...but any participation from Singtel is  good news.

Let me try this with a WILD assumption & story.

KBH convinced Connect to inject ANC & PacNet (worth USD 540M) into MR, then MR may be worth greater than just acquiring 100% of PacNet alone (i.e. 75.2c as stated by DBSS; after adjusting for last year rights issue). DBSS did state in the same report that without acquiring PacNet, MR is worth only 36.8c.

In simplistic terms, that means 100% of PacNet adds 38.4c to the share price.

And if ANC net profit level is equal to that of PacNet, then MR will be worth at least 113.6c (assuming no synergy in the asset injection).

Why would SingTel be interested in MR? Cos' SingTel consumer/enterprise VOIP solution is not as successful as MR. Likewise SingTel bandwidth management expertise is not as good as PI/ANC as evidenced by their slowness in recovering from the recent earthquake as compared to Starhub (which recovered in 2 hours).
