
Auston International has unveiled plans to transform itself from an education service provider into a group involved in mobile, web and media-related businesses. As part of its forays into new business opportunities in the region, it plans to raise about $16.4m through a renounceable rights-cum-warrants issue. It will also dispose of its education service unit.
Auston intends to use the expected $16.4m to fund regional expansion of a company, Broadband Network Systems Ltd, that it plans to acquire, for investment in mobile, web and media-related businesses; and for working capital.
Under its proposed one-for-one rights issue, each rights share will be issued at $0.04 a share. The issue will come with free, detachable three-year warrants on the basis of one warrant for two rights shares. Each warrant carries the right to subscribe for one new share at an exercise price of $0.05. The warrants, if fully exercised, are expected to bring estimated gross proceeds of $10.6m, which the company intends to use as general capital. Upon completion of the rights-cum-warrants issue, Auston plans to acquire a stake of no less than 96.86% in Hong Kong-based BNS, which provides Internet Protocol TV-based content and technology solutions for broadband service providers and enterprises.
