Pursuant to married trades on 27 July 2012, Luye Pharmaceutical Investment Co., Ltd. (" LPIC" ) acquired a total of 74,987,870 issued and paid-up ordinary shares of par value US$0.02 each (" Shares" ) in the share capital of Luye Pharma Group Ltd (" the Company" ).
Luye Pharmaceutical International Co., Ltd. (" LPI" ) holds the entire issued share capital of LPIC and Luye Pharma Holdings Ltd. (" LPH" ) holds the entire issued share capital of LPI.
AsiaPharm in turn has a controlling interest in LPH. Accordingly, AsiaPharm is deemed to be interested in the Shares held by LPIC by virture of Section 7 of the Companies Act. |
