The Board of Directors ("the Board") of Zhongguo Powerplus Industries Limited ("the Company") wishes to

announce it has come to its attention that the Controlling Shareholders1 of the Company are in preliminary

discussions which may potentially lead to a general offer for all the shares in the capital of the Company

(?Preliminary Discussions?). However, there is no certainty that any proposal, offer or transaction will result

from these Preliminary Discussions.

The Company will make an appropriate announcement at the relevant time should circumstances merit such

an announcement.
