
This counter has been in low mood for a long time.
Subsequently, PCIM has on 19 October 2007 exercised to fully convert the aggregate principal amount of S$500,000 in respect of the Fourth Tranche Notes and partially convert the aggregate principal amount of S$1,000,000 in respect of the Fifth Tranche Notes at the Conversion Price of S$0.063 per share.
Accordingly, to date, the total loan converted in the capital of the Company is S$11,000,000.
The Conversion Price of S$0.063 is based on 90% of the average of the five consecutive closing prices per share of the Company for the period from 15 October 2007 to 19 October 2007.
The aggregate number of new shares to be allotted to PCIM is 23,809,000 shares (?New Shares?) based on the Conversion Price of S$0.063 per share.
The New Shares arising from the conversion of the Notes in aggregate do not exceed 50% of the issued share capital of the Company.
None of the Directors or substantial shareholders has any direct or indirect interest in the above transaction.

NOTES ISSUE - CONVERSION
The board of directors of the Company wishes to announce that Pacific Capital
Investment Management Limited (?PCIM?) has on 1 October 2007 subscribed for two
tranches of the Notes in the principal aggregate amount of S$5,000,000 (the ?Third
and Fourth Tranche Notes?). Subsequently, PCIM has on 2 October 2007 exercised to
partially convert the aggregate principal amount of S$1,500,000 in respect of the
Third Tranche Notes at the Conversion Price of S$0.066 per share.
Accordingly, to date, the total loan converted in the capital of the Company is
S$6,500,000.
The Conversion Price of S$0.066 is based on 90% of the average of the five
consecutive closing prices per share of the Company for the period from 24th
September 2007 to 28th September 2007.
The aggregate number of new shares to be allotted to PCIM is 22,727,000 shares
(?New Shares?) based on the Conversion Price of S$0.066 per share.
The New Shares arising from the conversion of the Notes in aggregate do not exceed
50% of the issued share capital of the Company.
None of the Directors or substantial shareholders has any direct or indirect interest in
the above transaction.
