Earnings growth of Singapore-listed infrastructure companies, such as Midas Holdings (5EN.SG), Rotary Engineering (R07.SG), are likely to accelerate from 2H10, with strong pipeline of projects expected in foreseeable future, says OCBC Investment Research.

The broker cites massive capital investments from pump-priming programmes of governments worldwide, as well as improving business confidence, as positives. It notes Midas, Rotary currently have enough projects to support earnings over next three years.

OCBC flags capacity expansion as main catalyst for Midas’ growth, with China-based train parts supplier able to produce up to 50,000 tonnes by end-2010 from 20,000 tonnes currently.

It says Rotary’s earnings will be driven by landmark $1.1 billion project clinched in July last year to build refinery tank farm in Saudi Arabia.

Keeps “buy” call on both stocks, unchanged targets of $1.30 for Midas, $1.44 for Rotary.

DBS Vickers Securities in an April 6 research report says: "We paid a visit to Midas’ aluminium extrusion plants in Jilin and to NPRT’s plant in Nanjing. The 3rd extrusion line has started trial production whilst the 4th and 5th lines are to be installed by 2H10.

"NPRT factory abuzz with activity and projected to deliver more train car bodies from 2010 onwards. Along with growth from Midas’ core aluminium extrusion business, we project earnings to grow from $38 million in FY2009 to $51 million in FY2010 and $74.6 million in FY2011. A successful listing in HK in mid 2010 could raise at least $300 million to fund its next phase of expansion.

"Target price unchanged at $1.30, still based on 20x FY10/11 earnings. If Midas can successfully complete its HK listing, our target price would be adjusted to $1.25, based on 22x FD FY2011 earnings. MAINTAIN BUY."

NOTICE IS HEREBY GIVEN that the Ninth Annual General Meeting of Midas Holdings Limited (the "Company") will be held at Amber Room, Level Two, Sheraton Towers Singapore, Thirty-Nine Scotts Road, Singapore 228230 on Friday, 30 April 2010 at 10.30 a.m. to transact the following business:

AS ORDINARY BUSINESS

1. To receive and adopt the Directors’ Report and Audited Financial Statements of the Company for the financial year ended 31 December 2009 together with the Auditors’ Report thereon. [Resolution 1]

2. To declare a Final Dividend of 0.25 cents per ordinary share for the financial year ended 31 December 2009 (2008 : 0.25 cents). [Resolution 2]

3. To approve the Directors’ fees of S$120,000/- for the financial year ended 31 December 2009 (2008 : S$120,000/-). [Resolution 3]

4. To re-elect the following Directors retiring pursuant to the Company’s Articles of Association:-

(i) Mr Chen Wei Ping (Article 91) [Resolution 4]

(ii) Mr Chew Chin Hua (Article 91) [Resolution 5]

(iii) Dr Xu Wei Dong (Article 97) [Resolution 6]

5. To re-appoint Messrs BDO LLP, as the Company’s Auditors and to authorise the Directors to fix their remuneration. [Resolution 7]

6. To transact any other ordinary business which may properly be transacted at an Annual General Meeting.

AS SPECIAL BUSINESS

To consider and, if thought fit, to pass the following Ordinary Resolutions with or without any modifications:-

7. Authority to allot and issue shares up to 50% of the total number of issued shares

"THAT pursuant to Section 161 of the Companies Act, Cap. 50 and subject to Rule 806 of the Listing Manual of the Singapore Exchange Securities Trading Limited ("SGX-ST"), authority be and is hereby given to the Directors of the Company to issue shares or convertible securities in the capital of the Company (whether by way of rights, bonus or otherwise) at any time and upon such terms and conditions and for such purposes and to such persons as the Directors may in their absolute discretion deem fit provided that: -

(i) the aggregate number of shares and convertible securities to be issued pursuant to this Resolution does not exceed 50 per cent (50%) of the total number of issued shares excluding treasury shares in the capital of the Company (as calculated in accordance with sub-paragraph (ii) below), of which the aggregate number of shares and convertible securities to be issued other than on a pro rata basis to existing shareholders of the Company does not exceed 20 per cent (20%) of the total number of issued shares excluding treasury shares in the capital of the Company (as calculated in accordance with sub-paragraph (ii) below);
(ii) (subject to such manner of calculation as may be prescribed by the SGX-ST), for the purpose of determining the aggregate number of shares that may be issued under sub-paragraph (i) above, the total number of issued shares excluding treasury shares shall be based on the total number of issued shares excluding treasury shares in the capital of the Company at the time this Resolution is passed, after adjusting for: -
a. new shares arising from the conversion or exercise of any convertible securities;
b. new shares arising from exercising share options or vesting of share awards which are outstanding or subsisting at the time this Resolution is passed provided the options or awards were granted in compliance with Part VIII of Chapter 8 of the Listing Manual of SGX-ST; and
c. any subsequent consolidation or subdivision of shares;
(iii) in exercising the authority conferred by this Resolution, the Company shall comply with the provisions of the Listing Manual of the SGX-ST as amended from time to time being in force (unless such compliance has been waived by the SGX-ST) and the Articles of Association for the time being of the Company; and
(iv) unless revoked or varied by the Company in general meeting, the authority conferred by this Resolution shall continue in force until the conclusion of the next Annual General Meeting of the Company or the date by which the next Annual General Meeting of the Company is required by law to be held, whichever is the earlier."

8. Authority to grant options and issue shares under the Midas Employee Share Option Scheme
"THAT the Directors of the Company be and are hereby authorised to offer and grant options (the "Options") in accordance with the Midas Employee Share Option Scheme ("the Scheme") and pursuant to Section 161 of the Companies Act, Cap. 50, to allot and issue from time to time such number of shares in the capital of the Company as may be required to be issued pursuant to the exercise of the Options under the Scheme provided always that the aggregate number of shares to be issued pursuant to the Scheme shall not exceed fifteen per cent (15%) of the total number of issued shares excluding treasury shares in the capital of the Company from time to time."

9. Authority to allot and issue shares pursuant to the Midas Holdings Scrip Dividend Scheme
"THAT pursuant to Section 161 of the Companies Act, Chapter 50 of Singapore, the Directors of the Company be and are hereby authorised to allot and issue from time to time such number of shares in the capital of the Company as may be required to be allotted and issued pursuant to the Midas Holdings Scrip Dividend Scheme."
