with google phone coming up competing with iphone, apple should remove google talk from its phone and install mediaringtalk instead. mediaring needs a isp to make it more complete product to offer consumers; merging voice and data together and selling only 1 subscription fee to compete with the local big 3 telcos |

NEW BUSINESS OPERATIONS – SUPPLY OF MOBILE HANDSETS EMBEDDED WITH THE COMPANY’S VOIP SOLUTIONS Introduction The Board of Directors of MediaRing Ltd (the “Company”) wishes to announce that the Company is in the process of expanding its business by undertaking developments of new products and extending its reach to new territories. The Company has decided to consider exploring new areas of business such as trading of mobile handsets and telephony equipments, operations in business process outsourcing (BPO) and also providing managed services / information technology (IT) solutions to various customers in existing territories in which the Company operates as well as new territories. Distribution of mobile handsets One of the key management decisions taken is for the Company to become involved in the business of trading and distribution of mobile handsets in countries like Singapore, India, the United Arab Emirates, Oman, Qatar, Kuwait, Saudi Arabia and some countries in Africa. The business of distribution of mobile handsets would be done through the following distribution channels:- • Selling to retail markets through resellers / distributors in small and mid-size countries; • bundling of mobile handsets with the products of mobile telecom operators in various countries; and • wholesale supply of mobile handsets to trading companies that are already involved in the business of distribution of mobile handsets, In each case, tapping on the existing distribution networks of the resellers, distributors and telecom operators shall be explored. Integration of existing VOIP solutions to mobile handsets The Company also plans to embed its VOIP solutions inside the mobile handsets so that a customer can use the VOIP facility. The Company is in the process of developing certain other products which can be installed in mobile handsets and used for calling from one destination to another destination through such access software in the mobile handset devices. The Company hopes to generate returns in the following manner: • margins on the sale or distribution of mobile handsets, and • revenue on usage of VOIP products by the end user of mobile handsets. Supply of mobile handsets to Spice Mobile Spice Mobile Ltd (“Spice Mobile”), a member of the Spice Group, is currently involved in the business of supplying and trading in mobile handsets in India through various channels. Spice Mobile is listed on the Bombay Stock Exchange and the National Stock Exchange in India. Spice Mobile has approached the Company with a proposal for the Company to aggregate the procurement of mobile handsets for Spice Mobile on a principal to principal basis. Under the proposal, the Company would deal / identify the manufacturers and other vendors of mobile handsets and accessories who would be willing to consider installing the Company’s VOIP products in their mobile handsets. The Company will supply these mobile handsets to Spice Mobile on a cost plus margin basis. The Company hopes that this new line of business will generate substantial revenue and margins in the coming years and become a stable additional source of revenue. Spice Mobile is an associate of the Spice Group and will therefore be an interested party. The supply of mobile handsets to Spice Mobile is intended be an ongoing business activity in the future. Spice Mobile has an independent board of directors whose members are different from that of the Board of Directors of the Company and are not accustomed to act on the instructions of the Spice Group. The audit committee of Spice Mobile currently comprises of three non-executive independent directors, none of whom are members of the Audit Committee of the Company. The supply of mobile handsets to Spice Mobile will be on terms consistent with those of other resellers, distributors or telecom operators who shall procure supplies from the Company based on the volumes and quality of mobile handsets. |

For sharing purpose only. One of my banker friend told me SPICE so far only control about 21% of MR, it is a rather weak in controlling. He believe Modi has big plan for MR , so he buys to strenghten his holding before MR become another different animal. He has to buy now because it will be more costly for Modi to acquire more shares from the open market down the road. Sounds logical also. |
