Private equity firms eye 'China orphans'

HONG KONG - Private equity firms are working on a series of deals to buy so-called " China orphans" , mainland companies listed in the United States and Singapore, with their stocks undervalued by investors who do not understand their business model or home market.
The deals are pushing ahead even as a series of accountancy and governance scandals in recent months have tarnished the reputation of Chinese companies listed overseas and hammered stock values. Last week, Bain Capital Partners agreed to buy US-listed China Fire & Security Group for US$265.5 million (S$331.1 million), becoming the first major global buyout firm to close in on such a deal. A slew of other buyout deals are in the works, including Kohlberg Kravis Roberts' planned bid for Singapore-listed Oceanus, Primavera's privatisation of US-listed Chemspec and PAG Asia Capital's planned buyout of US-listed Funtalk China Holdings. Meanwhile, Singapore-listed China Animal Healthcare, backed by the Blackstone Group, is in talks with investment banks to list on the Hong Kong Exchange and de-list from Singapore, according to four sources familiar with the matter. Blackstone and China Animal have declined comment. Such buyouts, known in banking circles as " take China privates" , involve de-listing companies from the US or Singapore and eventually re-listing them in Hong Kong or China to increase their market values. Deal sizes are relatively small but history shows there is a decent upside potential for the right target. Morgan Stanley Private Equity's (MSPE) de-listing of Sihuan Pharmaceutical Holdings is an example of returns that can be made with the right target. MSPE took Singapore-listed Sihuan private in 2009, identifying a company that required no additional work before re-listing it in Hong Kong last October. The stock jumped 28 per cent on its IPO, with top-end pricing valuing the company at 26.7 times 2011 earnings. But such deals are not without significant risks. The head of a leading regional private equity firm gave an example where his company pulled out of a deal when it discovered that the target had hidden unconsolidated shares at a subsidiary and had not disclosed that it had guaranteed loans for the subsidiary. " I don't see this kind of behaviour anywhere else. I can only put it down to people trying to bury their problems and hoping to deal with them in the future," said the source, who declined to be named because the discussions were private. Many small and mid-cap firms listed in the US got there through reverse takeovers, while Singapore's small and mid-cap " S-chips" ducked the more stringent requirements on profits and management continuity required by the Hong Kong Exchange. " There's a reason why some of these companies listed through the back door. It's because they couldn't get in through the front door," said one senior banker whose bank is working on a number of potential buyouts for orphan companies. Funding for buyouts of Chinese companies is done through an offshore holding company but the risk of non-payment is high and many banks cannot lend on such deals. Banks have to get comfortable with the risk that the firm will make enough revenue to pay the debt, that it will agree to upstream the money to the holding company, and that Chinese regulators will sign off on the transaction. Hi Bros,  I am slightly negative bias at this point.  Picture should be clearer by end of this week.  Chart which I drawn below shows a possible formation of H& S pattern going forward into next week. Look for lower channel to be tested as support on the down-side  Look for upper channel to be tested as resistance on the up-side.  Do trade with caution.        ![]() |

no need to think so much, just buy when the big boys buy coz they move the market and sell when they do... but take note sometimes they buy at wrong prices... so have the wisdom to cut losses if any... this method not 100% foolproof, trade with the " insiders" | |||||||||||||||||||||||||||||||||||

as for e u cant keep buying in u will burst the market  value i dun understand that part.it doesnt make sense to me. A stock moves up as long as there are willing buyers who are willing to pay more.

If im not wrong the BBs have something like a fix rate for broker fee for that day.So unlimited amout of trade can be done.Hence alot of them actually do a one lot buy up. for example buy 0.260 sell 0.265 what they will do is they will buy one lot at 0.265 at perhaps 5 mins interval. By doing so hoping that silly people like us will buy up n the buy will be 0.265 sell 0.270 . when it changed to that they will continue to do e 0.270 one lot buy. At the same time alot of them will fake a buy Q. meaning to Q to buy at 0.260 with a large vol (much much bigger den e sell Q) so this way it creat a ahhh so many people want to buy I think i will buy 0.265 n forget about Qing at 0.260.   Thats what i think(correct me if im wrong pls)  because im not BB n i do not have $$for non stop buying haha.So Im pretty sure thats their styles

there's no such thing as buy volume and sell volume u must be very clear in this first.. today if 1000 lots sold.. there must be 1000 lots bought also.. everytime there will be ppl queueing to buy at the lower price (1.99 for example)  and other ppl queuing to sell at the higher price (2.00 for example)  (common sense right?).. so here comes the difference... the 1000 lots sold down to the ppl queueing to buy at the lower price (1.99)? or the ppl bought the 1000 lots up to the other ppl queuing at higher price (2.00)? if the 1000 lots sold down at lower price.. it will bring down the price if the 1000 lots bought up at lower price.. it will push up the price.. just imagine u are in the wet market bargaining with the vendor..u wan a lower price to buy and they wan a higher price to sell.. so it depends on how desperate u or they are... to change the price..

first u need to understand the buy queue and the sell queue for example
there are ppl wanting to buy 3.455k lots of noble at 1.99 and  another group of ppl wanting to sell  125 lots of noble at 2.0 so in order to push noble up, someone needs to buy that 125 lots of noble at 2.0.. and when more ppl wanting to buy noble at 2.0, u will see 2.000/2.010

if u have infinite amount of $.. u can keep buying.. just buy all the way up.. a good example is zhongminBH (not encouraging u to buy) the " some people" might mean tat.. if u keep buying, u will burst ur pocket and when ur $ is running out.. the counter will go down and u will burst urself..

for the price to increase(value example gmg  buy 0.260 sell 0.265) if people kept selling at 0.260 there is no point for any buyers to get it at 0.265 right den once e Q for buying at 0.260 is done it will fall to 0.255 n 0.260 . so if u want a share value to go higher u r hoping the sellers wont sell n buyers trying to buy higher.   I think thats what u r trying to ask..i hope i didnt confuse u...
