WHEN Thai tycoon Charoen Sirivadhanabhakdi first acquired shares in Fraser and Neave (F& N) in July 2012, the London Olympics had yet to begin, there was no iPhone 5 and Michael Palmer was still Speaker of Parliament. Shareholders of the property and beverage group are now hoping that the region's largest-ever takeover battle will soon become history as well, and experts believe that the end-game is coming sooner rather than later. " There is unlikely to be a last-minute type of situation," said Ong Wei Jin, a partner at Harry Elias Partnership. Mr Charoen's longstanding $8.88-per-share offer lapses at 5.30pm today. He could, as he has done on five other occasions since formally opening his bid in September 2012, extend his offer without raising the price. |

Its obvious the board has different composition. The Dir  representing Ocbc/SG, Kirin/JP and TCC/Th would  have different  views on the use of or distribution of  the APB  proceed...hence the bid/fight for influencing/controlling stake  has escalated to full  take over via  a general  offer. The strategic and intrinsic values of F& N group is far beyond people can comprehend....this is unlike Autonomy which HP paid  with an arm and foot,  but a  diversified conglomeate group  operating across the region with established brands, and most of all plenty of cash from sales of APB.

I am new in this and would like to ask : What is the reason why the Board of Directors does not want t distribute the proceeds from sale of APB until this takeover saga ended? Also if one party manage to takeover, then the minority shareholders will not get a stake in the proceeds of the APB sale, correct? Would appreciate replies. Thanks | ||||

The bid is multi Billions scale with competing groups  doing its due diligences, they have also their fiduciary responsibility to their respective shareholders...  Buying shares as Investment vs. trading it for a short term gain are 2 different mindsets. Hope and Fears are  the enemies of short term traders esp with margin financing.  Fundamentals are key to good  investing decision...Look at the pricing trend of APB which has gone up even after the close of takeover offer. the offer has been extended to Dec11     |

Whatever the outcomes, as long as the bid does not fall thr' this F& N take-over is going to  create  a lot of value. Banks, brokers, analysts/advisors, stock exchange including the  restaurants/hawkers centers where meetings took place are going to contribute to Q4 GDP.... Great to see foreign inflow of funds/investment into Sg...Great to see GE/OCBC etc are unlocking the intrinsic value of their prime gems. Are there more to come? To the Board members, Great job....!    |

Not sure why u say that Uoe will not benefit from APB sale since the distribution of this sale is held back because of TB & Uoe bids. If Uoe gets full control of FNN, why can't it be given $5.6b?
My apology if I did not make it clear. I am not saying that Uoe does not need to come up with large sum of $ to bid for FNN, just trying to illustrate Uoe is buying at huge discount now with its current bid. UOE should be willing to raise its bid with bigger loan, knowing the gain they attained with full control of FNN.

Not sure your assumption is correct because the deal on APB shares is done and OUE will not get to benefit from the proceeds of APB breweries (you estimated to be $5.6 billion) .  What OUE will get is only the F & B (soft drinks) business and hospitality business and other business minus the APB shares.  So, OUE still has to folk out a very huge sum of money

Based on OUE’s $9.08 a share bid values F& N at $13.079 bln, or effectively $4.78 bln for OUE for the property assets and other businesses, excluding the $5.6 bln that will come from F& N selling its stake in AP Brew to Heineken, and $2.7 bln OUE has agreed to sell the food & beverage business of F& N to Kirin - post offer that is.   OUE is only paying $4.78 bln for FNN's property portfolio that is estimated at more than $8 bln. i.e. $8 - 4.78 = $3.22 bln buffer for OUE to raise the offer bid for FNN.  The Thai also aware of what FNN worths. Therefore market is anticipating a bidding war with surge in FNN price. |

These bizmen are not short term Traders who are quick to take profit...the bids are not over yet...So far, Kirin  has  not behave like short term traders (take profit and leave), they think strategically and  look for opportunity (one in 30yrs) for a  long term presence/gain.... Don't see Thai  bizman to  go for short term profit and  foregoing long term regional stronghold that F& N can  provide them. Anyway,  the shareprice today have already surged to reflect what  market thinks of  'compelling' value of this company.    |

Thai group will definitely up the offer and invite counter offer from OUE group just like what they did with APB Subsequently just take profit and start their own food and beverage business in Thailand

How is he  to  tell his shareholders  that TCC is to  taking profit and  to build a new presence as it has lost out  buying F& N, with the price differential of 2.25%...not likely for a seasoned bizman... Take profit, quiting at this stage of the race...after  agreeing with Henniken on APB sales, blocking the Cap reduction etc.. Would all the lined up  bankers/backers feel anti-climate....? Can anticipate next chapter to come....

F& N derives more than half its revenues from property holdings and has a profitable business selling F& N-branded soft drinks, mostly in Malaysia and Singapore. ======= According to above article, TB knows that FNN is important as it provides the good logistics & network for its business. Unlikely TB will not put up a fight against OUE, after warding off Heineken with an agreement that Heineken not bid for FNN.

Think wise for Thai group to cash in and take profit to start their own similar business as F&N. Afterall the family are enterprising. Just step into supermarkets and see percentage of the food and drink business that are imported. They can now produce in Thailand and export to Spore. F&N products also lack high profile international branding. Kirin is interested cause they come from high cost country. Thai group should be less interested cause they are from low cost country.
