CapitaLand Limited (" CapitaLand" ) wishes to announce that its 62% owned subsidiary, StorHub 31A Pte. Ltd. (" StorHub 31A" ), has increased its issued and paid-up share capital from S$1 to S$5,300,000 (comprising 5,300,000 ordinary shares) (the " Share Increase" ).
The Share Increase was made by way of an allotment and issue of an additional
5,299,999 ordinary shares by StorHub 31A to its sole shareholder, StorHub 31 Pte. Ltd. (" StorHub 31" ), for a total consideration of S$5,299,999 which was satisfied in full by capitalising the shareholder's loan owing by StorHub 31A to StorHub 31.
StorHub 31 is a wholly-owned subsidiary of StorHub Holding Pte. Ltd. which is a joint venture between CapitaLand (62% stake) and Hersing Corporation Limited (38% stake). CapitaLand's interest in StorHub 31A remains at 62% after the Share Increase.
The Share Increase is not expected to have any material impact on the net tangible assets or earnings per share of the CapitaLand Group for the financial year ending
31 December 2012.
None of the Directors or the controlling shareholder of CapitaLand has any interest, direct or indirect, in the Share Increase.
