What Does It Mean?
What Does Back Stop Mean?
The act of providing last-resort support or security in a securities offering for the unsubscribed portion of shares. A company will try and raise capital through an issuance and to guarantee the amount received through the issue, the company will get a back stop from an underwriter or major shareholder to buy any of the unsubscribed shares.

Investopedia explains Back Stop
For example, in a rights offering you might hear "ABC Company will provide a 100% back stop of up to $100 million for any un-subscribed portion of the XYZ Company rights offering." If XYZ is trying to raise $200 million but only raises $100 million through investors then ABC Company will purchase the remainder.

That Theoretical Ex-Right Price (TERP) is just an academic number, its price follows a formula depending on the share dilution and the rights issue. since this one is 1 for 1 so 100% dilution, the formula is thus :

(market price +0.59)/2=TERP (at that market price)

when CCT made decision, they used the lastest closing price of 1.06, thus TERP (at1.06)=0.825

OCBS reports said their estimate fair value is 1.33 thus TERP(at 1.33)= 0.96.

TERP (at 1.20)=0.895

TERP ( at 1.30) =0.945

TERP (at 1.40)= 0.995

and so on, so just treat this as number based on this formula.. so everyone is correct lah.

New website sux...old website is practical and easier to get information...for example...I can see all stocks of the same alphabert in a single page...now I have to flip and flip (no different from Teletext)...another example would be getting dividend distribution information...I don't even know where to find dividends distribution info more than 2 yrs ago...

There should be NO DOUBT about dividend, which is otherwise known as DPU or distribution per unit in REITS. The unique feature of Trust is set up so that the trust manager will distribute a substantial amount of its earning as DPU to shareholder. Thus REITs are meant to be 'income generating' type of investment.

hi there, i notices this is your first post using this nick. welcome to SJ

How do you know there is a HALT? the listed company must inform and request to SGX.

SGX website will publish these info. So to get in touch of news you need to read from SGX website.

You bought this stock and immediately it HALT for some announcement.. Haha, I am like you too, i bought on Thursday and read at night with a surprise. However, this type of thing happened often in share market. 

We just wish that this news just released become good news for the share price.. Lets see on Monday how the market react.

 In other work related experience, i have been taught " practice makes perfect' . however, after many many years of workings, i finally figure out 'practice does not make perfect, practice makes permanent'. i think if one practice a wrong technique, that technique can becomes permanent.

Yes, the warrant is priced out of money at current price. However, who knows what is their price 3 year down the road. Warrant has a time premium.

In their document, they said " The issue of Warrants will reward subscribing shareholders, maintain good relationships with shareholders , and also provide GAR with additional future liquidity if exercised at maturity."

Take good care to read the 'exercise at maturity'...In some of my understanding, some warrant can be exercised anytime before expiry, which is more flexible. Perhaps my interpretation is not correct...

Anyone know why they offer warrant conversion price @54c on 1-1 conversion basis? Current price of GAR is 42c which means the given warrants (FOC) upon exercising of rights are out of money. It is worthless unless the share price goes above 54c.

This rights issue, simplified to be 1 rights for every 1 share at issue price of 0.15, with free 1 warrant for every 5 rights subscribed and warrant expiry is 2-year with exercising price of 0.25

With current market price of mother share at about 39cents, the warrant is already 'In the money'. therefore to work out theoretical ex-rights price:

mother shares, 1 lot or 1000 shares = 0.39x1000=390

rights shares, 1000 at 0.15 =150

warrant 1/5 of rights at 0.23=200x0.23=46

total cost ==586

total qty with rights and warrant=1000+1000+200=2200

estimate total cost/total qty =586/2200=26.6cents

 so, if the mother share trade about 39cents, when ex-rights its price is likely adjusted to 27cents. of course mother share price will change and thus ex-right price also change according to dilution effect as well as market sentiment.

 Your question on how to play warrant... warrant is issued free of charge and attached to rights that is exercised. therefore, if you want to exercise then you get 1warrant  for 5 exercied rights . Each warrant entitled you to exercise at a price of 0.23 within two year expiry. As this is 1 for 5 thus the warrant dilution is not too large as it is 20% of right issue , this act as a sweatener to make entitled shareholder happy to hold warrant.

As this point warrant is priced at 23cents, if mother share price is much higher than 39 cents, the warrant become very attractively priced. on the other hand, if mother share price drops below 31 cents then the ex-rights price become less than 0.23 and it will make warrant not in money ( you can read Golden Agri's case, its warrant is priced out of current market price).


Warrant will be listed in SGX after the Rights issue exercise. Once listed in SGX, warrant can be traded just like share.  You must either sell the warrant for money , or exercise by paying 0.23 to convert to mother share, before its expiry. Once expired, it becomes worthless.

Warrant exercising must go through a paper work process , fill up form, pay cashier order or banker draft to the Warrant Agent. Wait few days for their processing before it become credited into your CDP.
